Detailed market study & analysis: This is the phase
where we scan the market to find the universe of potential
targets / partners. This phase is supervised by our in-house
analysts who collect data from industry sources, industry
associations, Internet, tele-calling, industry publications
etc. Depending upon the size of the industry, this phase can
take anywhere between 1-2 months.
Short-listing: Along with the client, we short list from
the identified universe. The short-listed candidates are then
personally met by us to explore the possibility of a
transaction.
Business modeling: When one or more potential partners are
identified, we work with our clients to develop a joint
business model that includes the financial model and also a
valuation, if required.
Negotiation: If requested by the client, we actively lead /
participate in negotiations of salient terms of the JV with
the potential partners. Once again, our understanding of the
local culture and market gives us an edge.
Term Sheet: After reaching a preliminary understanding with
potential partner (s) we draft the term sheet. This is done in
consultation with our client and then we explain the term
sheet to the potential partners over a meeting. The term sheet
typically defines the proposed working relationship in as much
detail as possible.
Due Diligence: We provide due diligence support on the
business side, if required. We also recommend and supervise
the due diligence work done by other agents like the
accountants and lawyers.
Documentation: We work closely with very efficient legal
firms that are very cost-effective compared to the branded
international legal firms. We ensure that the essence of term
sheet is captured in the legal agreements.
On-going advisory services: Many of clients request us to
provide on-going advisory services to the JV after the JV
agreement is executed. We are always delighted to provide this
service because it allows us to strengthen the relationship
with our client, which is the staring point of any transaction
for us.
